Legal agreement

If you are acting on behalf of a company or organisation, you warrant that you have the authority to enter into this agreement on their behalf.
1. User obligations
Conduct requirements

- 1.3 You are responsible for ensuring that payroll data submitted to Quantity Payroll is correct and approved by authorised personnel within your organisation.
Prohibited activities
- 1.4 You may not use our services to facilitate fraudulent payroll practices, misclassification of workers, or any other unlawful employment activity.
- 1.5 You must not introduce malicious code, interfere with our systems, or attempt to circumvent any security measures.
- 1.6 Unauthorised collection or use of data from this site is prohibited.
- 1.7 Our services are provided to businesses and are not intended for personal, domestic, or consumer use.
2. Responsibilities and compliance
- 2.1 You remain responsible for compliance with the employment laws and statutory obligations in your jurisdiction. Quantity Payroll's services support but do not replace your legal duties as an employer.
- 2.2 You agree to indemnify Quantity Payroll against any claims, losses, or expenses arising from your breach of these terms or your misuse of our services.
- 2.3 You are responsible for the accuracy of information provided to Quantity Payroll. Errors arising from incorrect data submission are your responsibility to correct.
- 2.4 You must comply with applicable data protection laws in your jurisdiction when sharing employee data with Quantity Payroll for payroll processing.
- 2.5 Where our services involve interactions with third-party providers (e.g. banks, HMRC, tax authorities), you acknowledge that additional terms from those parties may apply.
3. Disclaimers and limitations of liability
Disclaimer of warranties
- 3.1 The website and its content are provided on an "as is" and "as available" basis. Quantity Payroll makes no warranties, express or implied, regarding the accuracy, completeness, or suitability of information on this site.
- 3.2 Content on this website is for general information only and does not constitute legal, financial, or tax advice.
- 3.3 Quantity Payroll does not warrant that the site will be uninterrupted, error-free, or free from viruses or other harmful components.
Limitation of liability
- 3.4 To the fullest extent permitted by law, Quantity Payroll's total liability for any claim arising from these terms or our services will not exceed the fees paid by you in the three months preceding the claim.
- 3.5 Quantity Payroll will not be liable for indirect, consequential, or incidental losses, including loss of profits, business, or data, even if we were advised of the possibility of such losses.
- 3.6 Nothing in these terms limits liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.
4. Force majeure
Quantity Payroll will not be in breach of these terms or liable for any delay or failure to perform its obligations where that delay or failure results from events outside its reasonable control, including but not limited to natural disasters, government action, infrastructure failure, or widespread system outages. We will communicate promptly and work to restore normal service as quickly as possible.
5. Legal provisions
Governing law
These Terms and Conditions are governed by applicable law. Any disputes arising from them will be subject to the exclusive jurisdiction of the relevant courts, unless both parties agree to alternative resolution.
Dispute resolution
In the event of a dispute, both parties agree to attempt to resolve it informally in the first instance by contacting the other party in writing. If not resolved within 30 days, either party may pursue formal legal proceedings.
Severability
If any provision of these terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
Entire agreement
These Terms and Conditions, together with any service agreement and our Privacy Policy, constitute the entire agreement between you and Quantity Payroll with respect to the subject matter herein.
6. Modifications to these terms
Quantity Payroll reserves the right to update these Terms and Conditions at any time. We will update the date at the top of this page when changes are made. Material changes affecting active service clients will be communicated directly. Continued use of our services following any update constitutes your acceptance of the revised terms.
